Terms and conditions governing your use of Spifex's services.

These User Terms are a binding agreement between you and Spifex Inc. (“we”, “us”, “our”) that governs your access to and use of Spifex’s Services. Capitalized terms used in these User Terms are defined in our Platform Agreement and Privacy Policy.

By using the Services, you consent to these User Terms and any applicable Service-Specific Terms for services you use. Spifex grants you limited permission to access and use our Services, and any use of our Services not expressly permitted in our terms is prohibited.

You also acknowledge and agree that by using the Services, your data, including any personal information, may be collected, used, transferred, and processed in accordance with our Privacy Policy.

We may update or replace these User Terms by posting an updated version to our legal page. Your continued use of the Services will serve as your acknowledgment and acceptance of any changes to these User Terms.

YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION IN THE MANNER SET FORTH UNDER THE PLATFORM AGREEMENT. PLEASE READ THAT CAREFULLY AND ONLY USE THE SERVICES IF YOU UNDERSTAND AND AGREE TO THE PROVISION.

1. Access and Use of the Services

Eligibility

By accessing or using Spifex Services you personally represent, certify, and warrant that:

  • You agree to abide by all local, state, national, and international laws and regulations in your use of our Services.
  • You are not a Prohibited Person.
  • All information you provide to us is and will be current, accurate, and complete.
  • You will use the Services exclusively for business purposes and not for any personal, family, or household use.
  • Our Services are intended for use only by persons aged 16 years and over, and some specific Services are intended only for use by persons aged 18 years and over. If you do not meet this criteria, you must immediately discontinue use of our Services.

Consent to Electronic Signature

By agreeing to these User Terms, you consent to us providing Notices to you electronically, and understand that this consent has the same legal effect as a physical signature. You may only withdraw consent to receive Notices electronically by closing your Spifex Account or by contacting Spifex customer support.

Prohibited and Restricted User Activities

You may only access or use our Services for valid, lawful, bona fide business purposes. You are prohibited from using the Services for:

  • Any unlawful purpose or purpose prohibited by these terms.
  • Personal, family, or household use.
  • Any transaction involving Prohibited Activities or individuals/entities under sanctions.

You agree not to:

  • Impersonate any person or entity or misrepresent your affiliation.
  • Engage in spamming, phishing, or database scraping.
  • Reverse-engineer, decompile, or disassemble Spifex’s technology.
  • Violate any applicable laws, including local and international regulations.

Spifex may terminate your access if we believe you are engaged in any restricted activities.

Infringement

You agree not to use the Services in a way that infringes third-party rights. If you are a copyright holder and believe your work has been infringed, please send a DMCA notice.

2. Using Spifex Cards

If you are issued a Spifex Card, you are responsible for securing your Card information. Report any lost, stolen, or breached Cards promptly.

Spifex may suspend or cancel Cards for any reason, including fraud prevention or security concerns.

Spifex Cards and Accounts are commercial in nature, and certain consumer protection laws do not apply.

3. Ownership of Spifex Property, Feedback

Spifex and its licensors own all Spifex Property. You may only use Spifex Property as provided and for the purposes permitted by these User Terms.

Feedback provided to Spifex is freely usable by us and does not require compensation.

4. Content

Content provided on Spifex’s platform is for informational purposes only. Spifex is not a law firm or financial advisor and does not provide legal, financial, or compliance advice.

Spifex may include third-party content or links, and we are not responsible for the content or services of third parties.

5. Limitation of Liability

Spifex is not liable for any loss, damage, or injury arising from your use of our Services, including system failures, data loss, or unauthorized access.

You agree to use Spifex at your own risk.

6. Suspension and Termination

Spifex may suspend or terminate a User’s access to the Services at any time, with or without notice, at our discretion. Breach of these User Terms or misuse of the Services may lead to account termination.
